Company Registration in Bulgaria
In order to trade, manufacture or offer services, you need to be informed about the legal requirements with which your business must comply. Carrying out different types of business requires a different type of registration.

The types of registrations are:
Sole Trader
Necessary information in connection with the registration of a sole trader:
●Trader’s name;
●Head office and registered address;
●Business to be carried out by the trader;
●Sole trader’s full name.
Company – JSC, EOOD, OOD, company under OCA
Necessary information regarding the registration of JSC, EOOD and OOD includes the following data:
●Company name;
●Head office and registered address;
●Business to be carried out by the company;
●Company owner and share distribution in case of two or more owners;
●Company capital;
●Company management.
No capital is determined in the event of registration of a company under OCA or a sole trader, since the legislation has no such provision for these entities.
Liberal Profession
A streamlined form of registration is contemplated in the Bulgarian legislation for persons exercising a liberal profession. This is possible if you have any of the following professions: notary, lawyer, chartered accountant; auditor, private enforcement agent, licensed appraiser, court and prosecution expert, medical professional, insurance agent, carpenter, tailor, hairdresser, cosmetologist, science, culture, and education professionals, architects, economists, engineers, journalists, among others.
After the initial incorporation, we can assist you with the following registrations:
VAT
All natural persons or legal entities carrying out independent economic activity, such as manufacturer, trader, landlord and person providing services, including in the field of agriculture, as well as the practice of a liberal profession, including private enforcement agent and a notary public, are subject to VAT registration. We will list the most common cases as follows::
●Where they reach taxable turnover of BGN 50,000 or more for a period not exceeding the last 12 consecutive months before the current month, registration is required within 7 days of the end of the tax period in which that turnover was reached;
●Where the turnover is reached for a period not exceeding two consecutive months, including the current one, the person is obliged to submit the application within 7 days of the date on which the turnover was reached;
●In case of receipt of services which are taxable and for which the tax is payable by the recipient, whose place of performance is in the territory of the country;
●In case of provision of services under art. 21, para. 2 whose place of performance is in the territory of another Member State;
●In the cases where a person who is based only in the territory of the country supplies telecommunication, radio and television broadcasting or electronically supplied services to recipients that are non-taxable persons based or have a permanent address or normally residing in another Member State;
●In case of delivery of goods with place of performance in the territory of the country in compliance with art. 20, under the provisions of article 14 for distance selling;
●A person who carries out acquisition of goods from European companies worth more than BGN 20,000;
●Optional registration.
Electronic fiscal memory cash register (EFMCR) registration
You should purchase and register a cash register in case:
●You have sales in cash;
●Have sales paid via a payment (POS) terminal;
●You have sales paid by debit and credit cards;
●You have sales paid via Pay Pal, TransferWise, etc.;
●You have sales paid by cash on delivery.
Online Shop
In the event you have set up an e-shop selling your goods and services, where there is a possibility for payments listed under section 1.4, you are obliged to register it with the NRA prior to the commencement of the business activity.
EORI number
EORI means “economic operator registration and identification”.
Companies and people who wish to trade must use the EORI number as an identification number in all customs proceedings when exchanging information with the customs administrations.
A common type of identification number across the EU is more effective for both the economic operators and the customs authorities.
It is also more effective for statistical and security purposes.
- Paper-based registration, which must be submitted to the Customs office which is responsible for your area (as per the address on the identity card).
- Online registration, on the website customs.bg, where you need to have an electronic signature to this end.
Unified Voluntary Trade Register of the BCCI
BCCI has kept a Unified Voluntary Trade Register of Bulgarian companies and other legal entities for more than 40 years.
Its main and priority function is to serve the public and business and to issue and validate subsequent documents supporting the entrepreneurs in the realisation of their foreign trade activities. This type of documents includes certificates of origin, endorsements of invoices, and endorsements of all kinds of documents.
In the event of registering a new company, the price is BGN 125, exclusive of all state fees. The state fees are BGN 120, and 5 BGN are payable for bank transfer charges.
Where a one-year contract for accounting services is signed, the registration of a new company is free of charge.
